Job Description:
Responsibilities
Ensure compliance in relation to the JSE regulations,
Companies Act and relevant legislations
Keep abreast of developments in relation to the King
Report.
Knowledge of the JSE listing requirements will
initially be beneficial but ultimately essential to
fulfill this role over time.
Assist other members of the team to advise board of
directors as to their legal duties and responsibilities.
Assist on occasional instances to administrate board
meetings.
Draft resolutions for various transactions for the
ย
ย
group or clients. Basic drafting of legal letters (few instances) and
correspondence.
Drafting of SENS announcements for JSE purposes (under
supervision)
Attending AGM of clients and assisting clients with
notices of AGM and the like.
Dealing with CIPC and lodging all documents (director
changes, name changes, new company formations, special
resolutions, share matters and any online lodgment's
(change in year-end, change in addresses)
Maintaining a secretarial database
Maintaining all statutory records and minute books
Filing
Attending to all statutory related e-mails
Deregistration of companies
Liaising with other audit firms regarding take-on or
handover of clients
Doing research as and when required
